1. Who we are

2. What these terms cover

These terms govern your use of the website at transpera.ai and any content, tools or demonstrations we make available on it (the "Website"). By using the Website you agree to these terms.

If you engage us to provide services, that engagement is governed by our Client Services Agreement and the relevant Statement of Work, not by these terms. Where there is any inconsistency, the Client Services Agreement prevails for the services.

Our Privacy Policy, available at transpera.ai/legal/privacy-policy, explains how we handle personal information and forms part of these terms.

3. Using the Website

You may view, download and print pages from the Website for your own personal or internal business use. You must not republish, sell, licence or otherwise commercially exploit Website content without our written permission.

You must not use the Website in any way that is unlawful, that damages or impairs the Website or its availability, or that involves malware, unauthorised access, or automated data collection (including scraping or bots) without our written permission. Information you provide to us through the Website must be accurate.

4. Content and AI tools on the Website

Website content is provided for general information only. It is not legal, financial, technical or other professional advice, and you should not rely on it as a substitute for advice tailored to your circumstances.

Some parts of the Website may include AI-powered features such as chatbots, demonstrations or generated content ("AI Features"). AI Features are identified as such. Output from AI Features is generated by probabilistic systems and may be incomplete, inaccurate or inconsistent. You must review any output before relying on it and must not use it as the sole basis for any decision that could significantly affect a person. Do not enter sensitive personal information about yourself or others into AI Features on the Website.

We may change, suspend or discontinue any part of the Website, including AI Features, at any time without notice.

5. Intellectual property

Unless stated otherwise, we own or are licensed to use all intellectual property rights in the Website and its content, including text, graphics, code, designs and trade marks. Nothing in these terms transfers those rights to you. Third-party trade marks, including the names of AI model providers, belong to their respective owners.

The Website may link to third-party websites or services. We do not control them and are not responsible for their content, privacy practices or availability. Links are provided for convenience and are not an endorsement.

7. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified. Where our liability for a failure to comply with a consumer guarantee can lawfully be limited, it is limited to resupplying the relevant service or paying the cost of having it resupplied.

8. Liability

Subject to section 7, and to the maximum extent permitted by law:

  • the Website and its content are provided "as is" and we do not warrant that the Website will be uninterrupted, error-free or free of viruses, or that its content is complete, accurate or current;

  • we are not liable for any loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss, arising from your use of, or inability to use, the Website; and

  • where the Website is provided free of charge, our total liability to you in connection with it is limited to AUD $100.

Nothing in these terms limits our liability for fraud, or for death or personal injury caused by our negligence.

You are responsible for any loss we suffer that is caused by your breach of these terms or your unlawful use of the Website.

10. Changes to these terms

We may update these terms from time to time by publishing a revised version on the Website with a new "last updated" date. Continued use of the Website after that date means you accept the revised terms. We will not make changes that remove rights you have under the Australian Consumer Law.

11. General

If any part of these terms is found to be unenforceable, the rest continues to apply. A failure by us to enforce a right does not waive it. These terms are the entire agreement between you and us about your use of the Website.

12. Governing law

These terms are governed by the laws of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria.
